Effective Date: January 1, 2026

TEAMS FEE AGREEMENT

This TEAMS Fee Agreement (“Agreement”) is entered into by and between Done For You Real Estate, USA, a Utah-based entity, together with its affiliates (“DFY”), and the undersigned individual or entity (“Client”). DFY and Client may be referred to individually as a “Party” and collectively as the “Parties.”

1. SERVICES

DFY agrees to provide Client with access to certain educational, coordination, and support services related to the acquisition of real estate investment properties to be owned and held by Client (“Qualified Property” or “Qualified Properties”). These services (collectively, the “Services”) may include, without limitation:

Educational materials, information, and general guidance regarding real estate investment strategies and portfolio planning;

Access to DFY’s network of licensed and qualified third-party professionals, including but not limited to real estate brokers and agents, mortgage brokers and lenders, contractors, insurance providers, and property management companies (collectively, “Qualified Professionals”);

Assignment of an Account Executive to assist with coordination and communication between Client and Qualified Professionals during the property acquisition process;

Identification of potential market opportunities and available inventory through DFY’s systems and relationships.

Client acknowledges and agrees that DFY does not guarantee the availability, performance, appreciation, cash flow, tax treatment, or profitability of any Qualified Property.

2. COMPENSATION (TEAMS FEE)

In consideration for the Services provided, Client agrees to pay DFY a transaction-based service fee (the “TEAMS Fee”) for each Qualified Property successfully acquired by Client during the term of this Agreement, as follows:

First Qualified Property:

A fee equal to three and one-half percent (3.5%) of the final contract purchase price.

Subsequent Mid-Term Rental (“MTR”) Properties:

A fee equal to two and one-half percent (2.5%) of the final contract purchase price for each additional MTR acquired after the first Qualified Property.

Subsequent Long-Term Rental (“LTR”) Properties:

A fee equal to two percent (2.0%) of the final contract purchase price for each additional LTR acquired after the first Qualified Property.

The applicable TEAMS Fee is earned upon closing of a Qualified Property and is due and payable at the time of closing. No TEAMS Fee shall be owed unless and until Client successfully closes on the purchase of a Qualified Property.

Client acknowledges and agrees that the TEAMS Fee is typically paid through compensation disclosed on the settlement statement or Closing Disclosure, including, where permitted by law, through buyer-broker commission arrangements involving licensed real estate brokerages or affiliates. The manner of payment shall comply with all applicable federal, state, and local laws and regulations.

3. CONFIDENTIALITY

DFY agrees to maintain the confidentiality of Client’s non-public personal and financial information, including communications, documents, and materials provided by Client (“Confidential Information”), except as authorized by Client or as required by law.

Client expressly authorizes DFY to share Confidential Information with Qualified Professionals as reasonably necessary to facilitate the acquisition, financing, insurance, and management of Qualified Properties, including but not limited to real estate agents, mortgage brokers, lenders, property managers, contractors, and insurance providers.

The obligations set forth in this Section shall survive termination of this Agreement.

4. INDEPENDENT CONTRACTOR RELATIONSHIP

DFY is an independent contractor and is not an agent, employee, partner, joint venturer, or fiduciary of Client. Nothing in this Agreement shall be deemed to create any partnership, joint venture, agency, or fiduciary relationship between the Parties.

DFY has no authority to bind Client, incur obligations on Client’s behalf, or acquire any ownership interest in any Qualified Property.

5. SERVICES DISCLOSURE; NO PROFESSIONAL ADVICE

Client acknowledges and agrees that:

DFY is not a licensed real estate brokerage and does not perform activities requiring licensure. All licensed activities are performed exclusively by DFY’s licensed affiliates or third-party Qualified Professionals.

DFY does not provide legal, tax, accounting, investment, or financial advice. Client is strongly encouraged to consult independent licensed professionals of Client’s choosing.

DFY does not act in a fiduciary capacity and has not been engaged to represent Client in any real estate transaction.

Any educational materials, illustrations, projections, or information provided by DFY are for general informational purposes only and shall not be construed as recommendations, solicitations, or offers to buy or sell securities or specific real property.

Any properties referenced in DFY materials, presentations, or websites are for illustrative purposes only and may not be available at the time referenced.

6. TERMINATION

Either Party may terminate this Agreement at any time upon written notice to the other Party.

Notwithstanding termination, Client shall remain obligated to pay the applicable TEAMS Fee for any Qualified Property that goes under contract during the term of this Agreement, regardless of whether closing occurs before or after termination.

7. MUTUAL WAIVER OF CONSEQUENTIAL DAMAGES

To the fullest extent permitted by law, neither Party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, including lost profits, arising out of or related to this Agreement, regardless of the theory of liability.

8. BINDING EFFECT; ASSIGNMENT

This Agreement shall be binding upon and inure to the benefit of the Parties and their respective heirs, successors, and permitted assigns.

9. GOVERNING LAW AND VENUE

This Agreement shall be governed by and construed in accordance with the laws of the State of Utah, without regard to conflict-of-law principles. Exclusive jurisdiction and venue for any dispute arising under this Agreement shall lie in the state or federal courts located in Utah, and the Parties hereby consent to such jurisdiction and venue.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, understandings, or representations, whether written or oral. This Agreement may be amended only by a written document executed by both Parties.
